Terms of sale

These Terms of Sale apply to product purchases from "BDE Supplies including guest checkout and approved B2B accounts.

Contract formation

Your order is an offer to buy. A contract forms when we confirm acceptance by order confirmation, shipment, or invoice, whichever occurs first.

Prices and taxes

Prices are shown in the storefront currency and exclude sales tax, shipping, duties, and VAT unless stated. Applicable taxes are calculated based on ship-to location and tax settings. Resale or exemption certificates must be on file and accepted before tax-exempt treatment applies.

Payment terms

Cards and other online methods are charged at checkout. Approved accounts may qualify for Net 30 or other terms from the date of invoice or delivery, as agreed. We may require prepayment for new accounts, large orders, or credit holds.

Fulfillment

We will use commercially reasonable efforts to ship as described in our Shipping Policy. Partial shipments may occur. Substitution requires your approval unless the product is discontinued and an equivalent is agreed.

Inspection

Inspect goods promptly on receipt. Claims for shortage, damage, or defect must follow our Refund Policy timelines.

Risk and title

Risk of loss generally transfers on tender to carrier. We retain a security interest in unpaid goods to the extent allowed by law.

Warranty disclaimer

Except as required by law or expressly stated in writing, products are provided "as is." Manufacturer or third-party warranties, if any, are between you and that party. We do not warrant that a product will meet every facility requirement without proper dilution, surface testing, and SDS review.

Returns

Returns and refunds are governed by our Refund Policy.

Governing law

These Terms of Sale are governed by the laws of the United States and the state in which BDE Supplies is organized, without regard to conflict-of-law rules, unless a signed wholesale agreement states otherwise.
